Outside General Counsel:

    • Represent multi-faceted real estate development, lending and construction company in all of their legal need, including, drafting and negotiation of development agreement, financing and mortgage loan documents and packages, employment matters (including confidentiality and non-compete agreements with employees), leasing and construction contracts.
    • Represent financial services and investment company in negotiating and drafting all of their investment transactions, including, joint ventures, shareholder agreements, debt and equity investments and licensing agreements.
    • Represent internet-based software company in all of their legal need, including, drafting and negotiating all of their licensing and software development agreements, click-thru and other internet-based marketing agreements, confidentiality, non-compete and work for hire agreements with employees and independent contractors, as well as their internal general business needs, such as implementing and managing employee stock option plan, office leasing, insurance matters and related general corporate governance, structure and corporate maintenance.
    • Represent web-based public company in drafting and negotiating standardized software licensing, services, marketing and OEM agreements for their products, as well as handling all of their general intellectual property management and protection, including managing specialized IP lawyers in Washington D.C. through the company’s patent, trademark and copyright processes, as well as developing, implementing and managing overall corporate strategy for protection of intellectual property with employees and third parties.

In such a role, my firm handles virtually every aspect of a client’s legal needs, including managing outside lawyers engaged through this Outside General Counsel relationship for specialized litigation or other legal needs not handled by my firm.     • Represented technology-based company in oversight, protection and management of all of their intellectual property assets.

Real Estate and Finance:

    • Represented developer in acquisition, development, construction, finance and leasing of over 13 grocery-anchored shopping centers (average transaction size in excess of $5 million).
    • Represented developer in acquisition, development, construction, finance and leasing of business and commerce park (transaction size in excess of $12 million).
    • Represented developer in $35 million development agreement with a municipality for multi-use condominium and retail complex, including negotiation of TIF financing package.
    • Represented mortgage lender in workout and unwind of mortgage loan portfolio in excess of $25 million.
    • Represent shopping center owner in portfolio sale of multiple centers to REIT totaling in excess of $12 million.
    • Represented various condominium associations in management of lien and foreclosure process for delinquent unit owners and general association matters.
